These Promotions Terms and Conditions (“Promo Terms”) apply to all promotions conducted by Payroll Network, Inc. (“PNI•HCM”, “PNI”) and GovConPay (“GCP”), including but not limited to referral programs, customer reference programs, gifts and gift card giveaways, discounts, and other offers or incentives based on specified activities such as event participation (each individually, a “Promotion,” and collectively, “Promotions”). These Promo Terms may be supplemented, modified, or superseded by terms and conditions communicated in connection with a specific Promotion. In the event of any conflict or inconsistency between these Promo Terms and the terms and conditions communicated with a specific Promotion, the terms and conditions communicated with such Promotion shall govern and control to the extent of any such conflict or inconsistency.

By participating in any Promotion, you agree to these Promo Terms and the PNI•HCM and GovConPay User Privacy Notice available at https://www.pnihcm.com/privacy-policy.

If you are participating in a Promotion on behalf of an entity or other organization: (i) references to “you” are to such entity or organization; (ii) you are accepting these Promo Terms for that entity or organization; and (iii) you represent to PNI•HCM and GovConPay that you have the authority to bind that entity or organization to these Promo Terms.

PNI•HCM and GovConPay may modify or amend these Promo Terms at any time, without notice to you. Your continued participation in any Promotion and/or use of any vouchers, credits, discounts, or other offers and incentives (collectively, “offers”) following any such modifications or amendments shall constitute your acceptance of such modifications or amendments.

1. General Rules & Promotion Limitations

  • Each Promotion is a limited-time offer and may be subject to availability.
  • You represent to PNI•HCM and GovConPay that you are of legal age of majority in your jurisdiction of residence at the time of your participation in a Promotion. In most jurisdictions, this age is at least 18 years old or older, but if the legal age of majority in your jurisdiction is higher, you represent that you meet that legal age requirement.
  • Promotions are not valid for cash or cash equivalents.
  • Promotions cannot be applied to previous purchases or subscriptions and may not be combined with other offers.
  • Promotions are non-transferable and may not be resold, auctioned, bartered, leased, or exchanged.
  • Unless otherwise stated, the offer is limited to one per company.
  • To qualify for an offer, you must be directly responsible for evaluating or making business decisions regarding your company’s use or purchase of PNI•HCM and GovConPay products and services or be a current client of PNI / GCP.
  • If you qualify for an offer, we will contact you via the email address provided.
  • If you violate any of these Promo Terms or any other terms communicated with the Promotion, the Promotion will be invalid.
  • Promotions are void where prohibited by applicable law.
  • You are responsible for any taxes, duties, and/or fees associated with receiving or using an item or service in connection with a Promotion.
  • PNI•HCM and GovConPay reserves the right to modify or cancel the Promotion or any terms or conditions applicable to the Promotion, in its sole discretion, at any time and without notice, for any reason, including, without limitation, technical issues or other unforeseen circumstances, or if PNI / GCP suspects or determines your actions with respect to any Promotion involve fraud, abuse, or bad faith. PNI / GCP shall not be liable for any financial loss arising out of the refusal, cancellation, or withdrawal of any Promotion or any failure or inability on your part to take advantage of a Promotion for any reason.
  • By submitting any content as part of any Promotion, you grant PNI•HCM and GovConPay a non-exclusive, royalty-free, worldwide license to use, reproduce, modify, adapt, edit, copy, transmit, publish, translate, create derivative works, distribute, and display your submission and content in any media format, including both paid and owned media channels, for any lawful purpose on a global basis, including, without limitation, promotion, publicity, and advertising purposes.
  • Promotions are only valid for the PNI•HCM and GovConPay products and services that are available and supported in the country in which eligible entities are domiciled. PNI / GCP reserves the right to determine product or service availability on a country-by-country basis, and any products or services that are not available, supported, or otherwise offered in the relevant country are expressly excluded from the scope of any Promotion.
  • PNI•HCM and GovConPay is not responsible for any differences in conversion rates or resulting changes in the value of your promotional credit based on the currency of the Promotion or means of redemption.
  • PNI•HCM and GovConPay is not responsible for any technical issues or other technical or human errors that may affect the operation or outcome of any Promotion.
  • Employees, contractors, and other agents of PNI•HCM, GovConPay, and its affiliates, as well as their immediate family members, are not eligible to participate in any Promotion.
  • If any provision of these Promo Terms is found to be invalid or unenforceable, the remaining provisions shall remain in full force and effect.
  • PNI•HCM and GovConPay reserves the right to investigate any suspected fraud, abuse, or violation of these Promo Terms or any Promotion. PNI / GCP may audit entries, submissions, or participant activity at any time, and may require additional information or documentation to verify eligibility or compliance. Any determination of fraud or abuse will result in immediate disqualification from the Promotion and forfeiture of any offers or incentives.
  • To the fullest extent permitted by law, PNI•HCM and GovConPay and its affiliates shall not be liable for any indirect, incidental, special, consequential, or punitive damages, or any loss of profits or revenues, arising out of or related to any Promotion, even if advised of the possibility of such damages. PNI / GCP’s total liability for any claim arising out of or relating to any Promotion shall not exceed the value of the offer or incentive provided to the participant.

2. $25 Google Review Promotion Rules & Limitations

To qualify for a gift card, participants must meet all the following conditions:

  1. Be a current admin of an existing PNI•HCM or GovConPay client account at the time of submission and when the gift card is distributed.
  2. Submit proof of their eligible Google Review by emailing a screenshot to support@pnihcm.com or support@govconpay.com by Friday, December 5, 2025.
  3. Reside within the United States.

This Promotion is limited to one (1) gift card per active client account.

  • An ‘eligible Google Review’ is a review posted on either PNI•HCM or GovConPay’s Google Business Profile by an authorized admin of a current PNI / GCP client after November 1, 2025, and on or before the December 5, 2025, promo deadline.
  • Qualifying participants will receive an email from PNI•HCM and GovConPay’s Marketing Team within ten (10) business days of submitting proof of their eligible Google Review screenshot. The email will include instructions for redeeming a $25 gift card, redeemable only within the United States.
